Definitions
Great Scott! refers to Great Scott! BV, registered in Turnhout under company number BE0663780205.
Client refers to the person or entity entering into an agreement with Great Scott!.
Parties refers collectively to the Client and Great Scott!.
Applicability

These Terms and Conditions apply to all offers, quotations, services, orders, agreements, and deliveries of products and services by or on behalf of Great Scott!.

Deviations from these Terms are valid only if explicitly agreed upon in writing.

Any general or deviating terms and conditions of the Client or third parties are expressly excluded.
Offers and Quotations

All offers and quotations from Great Scott! are non-binding unless explicitly stated otherwise.

Unless otherwise stated, each offer or quotation is valid for a maximum of 1 month.

If the Client does not accept the offer within the stated period, it will expire automatically.

Offers and quotations do not automatically apply to repeat or additional orders unless expressly agreed in writing.
Acceptance

Acceptance of an offer or quotation must be made explicitly and in writing (or electronically).

Oral acceptance is only binding if confirmed in writing or electronically by the Client.

The specific description of all services and the corresponding prices accepted by the Client will be included in the written agreement or quotation. Any changes to these terms must be agreed upon in writing.
Cancellations

Cancellations made less than 5 business days before the scheduled work will be fully invoiced, unless explicitly agreed otherwise in writing.
Late Payments

All invoices must be paid within 30 calendar days from the invoice date, unless otherwise agreed in writing.

If the Client fails to pay on time, an interest rate of 11.5% will be charged as a penalty.

Great Scott! reserves the right to suspend its obligations until payment is made in full.

In case of liquidation or bankruptcy of the Client, all outstanding amounts become immediately due.
Execution of the Agreement

Great Scott! will carry out its services to the best of its ability and in line with professional standards.

Great Scott! may engage third parties for the performance of services.
-
The Client must ensure that Great Scott! can commence work on time. Delays caused by the Client may result in additional costs, which will be charged to the Client.
Definitions
-
The Client must provide all necessary information in a timely and accurate manner.

The Client is responsible for the accuracy, completeness, and reliability of the provided data.
-
Great Scott! will treat all data as confidential and, upon request, is willing to sign a non-disclosure agreement prior to the commencement of services.

All information will be stored securely for the duration of the agreement and for a period of 5 years thereafter, unless otherwise agreed in writing.

Upon written request, Great Scott! will return or destroy the data.
Confidentiality

The Client must treat all information received from Great Scott! as confidential.
-
This applies to all information reasonably understood to be confidential or that could harm Great Scott! if disclosed.

The Client shall take appropriate measures to maintain confidentiality.

Exceptions to confidentiality include:

Information already public before disclosure;
-
Information disclosed due to legal obligation.
-

This duty of confidentiality remains in effect during the agreement and for 3 years after its termination.
Intellectual Property
-
All intellectual property rights remain with Great Scott!, including but not limited to copyrights, trademarks, designs, models, concepts, tools, software, and documentation.

The Client may not reproduce, share, or otherwise use any materials without prior written consent from Great Scott!.
Definitions
-
Breach of the confidentiality or intellectual property clauses will incur an immediate penalty of €5,000 per violation.

For each day the breach continues, an additional penalty of 5% of the initial amount applies.

This does not affect Great Scott!’s right to seek further damages.
Complaints
-
The Client must inspect delivered products or services promptly for defects.

If any deficiencies are found, the Client must notify Great Scott! within 1 month of discovery.
-
Complaints must be described as clearly and specifically as possible.
-
The Client must prove that the complaint relates to the specific agreement with Great Scott!.
Notices of Default
-
All formal notices, including notices of default, must be submitted in writing to Great Scott!.
Liability
-
Great Scott! is only liable for damages caused by intent or gross negligence.

In all other cases, Great Scott!’s liability is limited to direct damages resulting from the agreement.

Great Scott! is not liable for indirect damages such as loss of profit, missed savings, or third-party damages.

Any liability is limited to the amount paid by the liability insurer. If not covered, liability is limited to the invoice amount related to the damage.

All visuals, descriptions, and content on the website or other materials are indicative and non-binding.
Right to Terminate

Unless otherwise agreed in writing, termination requires a minimum notice period of 30 calendar days, effective from the first calendar day of the month following the date notice was given.

The Client may terminate the agreement if Great Scott! materially fails to meet its obligations, unless the breach is minor or of a specific nature that does not justify termination.

If performance is temporarily or permanently impossible, termination is only possible after Great Scott! is given formal notice of default.

Great Scott! may terminate the agreement if the Client fails to meet its obligations or if circumstances indicate that the Client may be unable to meet them.
Force Majeure

In the event of force majeure, Great Scott! is released from its obligations.

Force majeure includes, but is not limited to: natural disasters, riots, war, strikes, supply chain disruptions, power/internet outages, government measures, or unforeseen events that hinder performance.

Obligations are suspended for the duration of the force majeure.

If the situation lasts longer than 30 calendar days, either party may terminate the agreement in writing.

Great Scott! is not liable for any damages resulting from a force majeure situation.
Definitions
-
All disputes will be submitted exclusively to the competent court in the district where Great Scott!’s registered office is located, unless mandatory law provides otherwise.
